Agreement to Terms

These Terms of Service ("Terms") govern your access to and use of Tracko's website, products, and services (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.

Account Registration

When you create an account with us, you agree to:

  • Provide accurate, current, and complete information during registration
  • Maintain and promptly update your account information
  • Maintain the security of your account password
  • Accept all responsibility for activities that occur under your account
  • Immediately notify us of any unauthorized use of your account

You must be at least 13 years old to use this Service. By using the Service, you represent and warrant that you meet this requirement.

Acceptable Use

You agree to use the Service only for lawful purposes. You agree not to:

  • Use the Service in any way that violates any applicable federal, state, local, or international law or regulation
  • Transmit any material that is defamatory, obscene, offensive, or otherwise objectionable
  • Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
  • Attempt to gain unauthorized access to the Service, other accounts, computer systems, or networks
  • Use any robot, spider, or other automatic device to access the Service for any purpose
  • Transmit any viruses, worms, defects, Trojan horses, or other items of a destructive nature
  • Use the Service to send unsolicited or unauthorized advertising or promotional materials
  • Attempt to interfere with, compromise the system integrity, or decipher any transmissions to or from the Service

Intellectual Property Rights

Our Content

The Service and its original content, features, and functionality are and will remain the exclusive property of Tracko and its licensors. The Service is protected by copyright, trademark, and other laws. Our trademarks and trade dress may not be used in connection with any product or service without our prior written consent.

Your Content

You retain all rights to any content you submit, post, or display on or through the Service ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such content solely for the purpose of providing and improving the Service.

You represent and warrant that you own or have the necessary rights to all User Content you submit and that such content does not violate any third-party rights.

Subscriptions and Payments

Billing

Some parts of the Service are billed on a subscription basis. You will be billed in advance on a recurring basis according to your subscription plan. Billing cycles are set on a monthly or annual basis, depending on the type of subscription plan you select.

Automatic Renewal

Your subscription will automatically renew at the end of each billing period unless you cancel it or we terminate it. You authorize us to charge your payment method for the fees applicable to the next billing period.

Cancellation

You may cancel your subscription at any time through your account settings. Cancellation will take effect at the end of the current billing period. You will not receive a refund for any unused portion of your subscription.

Fee Changes

We may change our subscription fees at any time. We will provide you with at least 30 days' notice of any fee changes. If you do not agree to the fee changes, you may cancel your subscription.

Refunds

Except when required by law, paid subscription fees are non-refundable. We may provide refunds on a case-by-case basis at our sole discretion.

Free Trial

We may offer a free trial for certain subscription plans. If you sign up for a free trial, you will have access to the Service for the specified trial period. At the end of the trial period, you will be automatically charged the subscription fee unless you cancel before the trial ends. We reserve the right to modify or terminate free trial offers at any time without notice.

Service Availability

We strive to provide uninterrupted access to the Service, but we do not guarantee that the Service will be available at all times. We may experience hardware, software, or other problems that require maintenance or downtime. We reserve the right to interrupt the Service with or without prior notice for any reason.

Termination

We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to:

  • Breach of these Terms
  • Non-payment of subscription fees
  • Fraudulent, abusive, or illegal activity
  • Request by law enforcement or government agency

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may do so through your account settings or by contacting us. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability, fitness for a particular purpose, and non-infringement
  • Any warranties arising from course of dealing or usage of trade
  • That the Service will be uninterrupted, secure, or error-free
  • That any defects or errors will be corrected
  • That the Service is free of viruses or other harmful components

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL TRACKO, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Service
  • Any conduct or content of any third party on the Service
  • Any content obtained from the Service
  • Unauthorized access, use, or alteration of your transmissions or content

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

Indemnification

You agree to defend, indemnify, and hold harmless Tracko and its licensors, employees, contractors, agents, officers, and directors from and against any claims, damages, obligations, losses, liabilities, costs, or debt, and expenses arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property or privacy rights; or (d) any claim that your User Content caused damage to a third party.

Dispute Resolution

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which Tracko operates, without regard to its conflict of law provisions.

Informal Resolution

If you have any dispute with us, you agree to first contact us and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good faith negotiations.

Arbitration

If we cannot resolve a dispute through informal negotiations, any disputes arising from or relating to these Terms or the Service will be resolved through binding arbitration, except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction.

Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms.

Severability

If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.

Entire Agreement

These Terms constitute the entire agreement between you and Tracko regarding the use of the Service and supersede all prior and contemporaneous written or oral agreements.
